ARTICLE 1 – DEFINITIONS

In the present general conditions of sale (the “General Conditions”), the terms not otherwise defined herein shall have the meanings ascribed to them below:

“Customer” means any person, has it finished or not with the registration process, you navigate within the Site, including those acting as Customer, Guest, or Registered Customer, be it Customer, Consumer or Professional Customer.

“Consumer customer” means the person who is acting for purposes which are outside his trade, business, craft or profession, as defined in sub-article 3, letter a), of the Code of Consumption.

“Professional customer” means the natural or legal person acting in the exercise of their own entrepreneurial, commercial, craft or profession, or an intermediary, as defined in sub-article 3, letter c), of the Code of Consumption.

“Registered customer” means the user who has successfully completed the registration process to the Site, chose the right nickname and password in order to access, among others, in the special section reserved to Registered Customers. The Registered Customer has the right to navigate the Site and use all Services available from time to time on the Site.

“Customer's Guest” means the user who has the right to navigate on the Site, use the features available to the generality of Customers, without having to perform the registration on the Website and without being able to, consequently, make use of the Services.

The “Consumer code” means the D. Lgs. 6 September 2005, n. 206 and subsequent amendments.

“Content” means all information, video, images, sounds, music, photographs, software, newsletters (bearing useful news aimed at the use of the Service, and to be understood, therefore, part and parcel of this), animations, databases, the design and the content, the trademarks, the logo, the technical solutions adopted, the graphic design, look&feel, structure and any other part already made or to be made, whether registered or not, covered or not by copyright or legally protected, published on the web Site or any other materials (in whatever form) or services which are made available through the Site, or by Unieuro spa Customers, including information sheets relating to Products or Services, images, or descriptions related to Products or Services as well as trademarks or logos of third parties that are producers or suppliers of Products or Services.

“Contract” means collectively these General Conditions of Sale (including any document called for in the present General terms and Conditions), any additional conditions published on the Site, the more rules, regulations, codes of conduct and/or instructions present on the boards of the individual Products or, in any case, published on the Website as well as any registration form or Purchase Order issued by Customer and accepted by Unieuro S.p.A.

“Business day” means any calendar day except Saturday, Sunday and public holidays.

“Unieuro” means the shop of online sales, posted on the Site, called the “Unieuro” and managed by Unieuro S.p.A.

“Purchase order” means the order for the purchase of one or more Products and/or Services listed on the Site as “available” issued by the Customer in accordance with the purchase procedure referred to in article 4 below.

“Mixed order” means the purchase proposal issued by the Customer, concerning two or more Products of which at least one is indicated in the information sheet as “available”, and at least one other as that can be ordered depending on availability”.

“Purchase proposal” means the proposal relating to (i) the purchase of one or more Products and/or Services listed on the Site as “to be ordered depending on availability” or (ii) a Mixed Order, sent by the Client in accordance with the purchase procedure referred to in article 4 below.

“Product” means each product listed for sale on the Site www.unieuro.it.

“Point of Sale Unieuro” means the point of sale to teaches ‘Unieuro is managed directly by Unieuro S.p.A., at which a Customer can proceed to the withdrawal and the payment of the Products purchased/booked through the Site.

Unieuro spa is the sole shareholder company, subject to the direction and coordination of International Retail Holdings S. a.r.l. with registered office in Forlì, via Schiaparelli 31, share capital of Euro 4.000.000,00 (quattromilioni/00).v., registered in the Register of Companies of Forlì/Cesena, registration number, Tax Code and VAT no. 00876320409

“Website” means the website www.unieuro.it.

ARTICLE 2 – OBJECT

2.1 the Contract shall contain The terms and conditions which govern:

(1) the purchase and sale of Products and provision of Services purchased by the Customer through the Website; and

(2) the navigation on the Website by the Customer, as well as the use of all the functionality made available to the Customer through the Site.

2.2 Any purchase of Products or Services by (A) a Customer, acting as a Customer Consumer, will be governed by the Agreement, also the provisions of the Consumer Code and of the D. Lgs. no. 70/2003, as applicable; and (B) a Customer, who will act as the Professional Customer shall be exclusively governed by this Contract, apart from the provisions of the civil code, as this is not expected.

ARTICLE 3 – REGISTRATION ON THE WEBSITE AND ACCEPTANCE OF THE GENERAL CONDITIONS

3.1 The Customer who intends to act as a Registered Customer you will have to complete the registration process to the Site by providing the information and the personal data requested and indicate an e-mail address (or choose a “username” in the case of successful registration before November 24, 2012) to perform the login and “password”, as required in the appropriate section of the Site. 3.2 The Registered Customer is required to carefully read the present General Conditions and, in general, the terms and conditions of the Contract that may be displayed and printed in the course of the registration process including through access to pop-up or hyperlink; the Customer is obliged to accept these terms and conditions by clicking in the box labeled “I accept the terms and conditions of use”.

3.3 The Customer expressly authorizes Unieuro spa to send to your e-mail address, also through links to the related pages of the Website, this Agreement, including its General Conditions, any special conditions, as well as all communications related to the execution of this Agreement. The Customer acknowledges that this Agreement, including its General Conditions, any special conditions and all amendments from time to time in force, may be printed on paper or downloaded by the Customer.

ARTICLE 4 – PURCHASE ORDER, CONCLUSION OF THE CONTRACT, THE STATE OF THE ORDER

4.1 Mode of purchase by the Customer

The Customer can buy the Products and Services featured on the Site as described in the relative informative cards.

In the factsheet of each Product is shown:

- “available”: it means that the Product is physically present in the central warehouse of Unieuro spa The Customer can proceed with the purchase of a Product listed in the information sheet as “available” by sending the relevant Purchase Order.

- “that can be ordered depending on availability”: means that the Product is not physically present in the central warehouse of Unieuro spa, but can be available at the warehouses of the Points of Sale Unieuro. The Customer can proceed with the purchase of a Product listed in the information sheet as “can be ordered, depending on availability” by sending its Proposal for the Purchase, which is understood to be accepted only in case of positive result of the verification of the availability of the Product that Unieuro S.p.A. communicates to the Customer via email within 4 working days from receipt of the Proposed Purchase

More information that are clearly indicated in the information sheet include the main features of the Products and Services, the total price including tax and shipping charges.

The Contract must be examined by the Customer before issuing any Purchase Order or any Proposal for the Purchase of Products or Services. Without prejudice to the provisions of the previous art. 3 for the case of Registered Clients, the sending of a Purchase Order or a Purchase order by the Customer implies full knowledge and acceptance of these General Conditions and the Contract in general.

Purchase Orders and Purchase Proposals should be completed using the electronic form made available in the appropriate section of the Site, and must be submitted through the same Site, according to the modalities indicated therein.

The Purchase Order will be binding for Unieuro S.p.A. only if the entire purchase procedure has been completed regularly and correctly, without any highlighting of error messages from the Site, as well as, in case the Customer chooses home delivery, the control over the regularity of payments made with Credit Card and Paypal from Unieuro within 48 hours from receipt of the order placed by the customer. Customer, and precisely:

(i) the authorization of payment by the bank, in case of payment by credit card or PayPal.

The control over the regularity of payments made with Credit Card and Paypal from Unieuro S.p.A. within 48 hours from receipt of the order placed by the customer.

The Proposed Purchase will be deemed properly submitted by the Customer only if the entire procedure is completed regularly and correctly, without any detection of error messages from the Site. However, it should be understood that:

(i) the Proposed Purchase will be deemed to be accepted by Unieuro S.p.A., only in case of positive result of the verification of the availability of the products indicated in tab with a “to be ordered after checking availability”;

(ii) the Proposed Purchase on the case of a Mixed Order, will be deemed accepted, by Unieuro S. p.a To, only in case of successful verification of the availability of those Products listed in its own tab, such as “can be ordered, depending on availability”.

In both cases, Unieuro S. p.a To communicate to the Customer the outcome of the verification of availability. In the case of non-communication, shall be deemed as non-acceptance of the proposal of purchase, which then will be cancelled.

Payment is with Paypal or by Credit Card is immediate at the time of conclusion of the order.

4.2.1 Confirmation of receipt of the Purchase Order

After you have sent your Purchase Order, the Customer will receive an e-mail confirming receipt and indicating its identification number.

In the case where the method of payment chosen by the Customer and the charge on the credit card, at the time of conclusion of the order will not result in the payment of the amount, but only a block of the ceiling for the amount necessary for the purchase. In the case where the Customer has chosen to collect the Products at a Point of Sale Unieuro, within 7 days from the receipt of the aforementioned e-mail, Unieuro S.p.A. will inform the Customer of the day when you can go to the Point of Sale selected for the collection of the Products and proceed to payment with the available payment methods at the Point of Sale. In the event that, within 10 Business Days from the time the Products are available at the Point of Sale, the Customer does not proceed to the withdrawal of the Products, the order will be automatically cancelled.

4.2.2 Confirmation of receipt of the Purchase offer and the confirmation of acceptance of Proposal to Purchase

Within 4 days from receiving that e-mail, Unieuro S.p.A. will inform the Customer of the outcome of the audit on the availability. It is noted that in the case of a Mixed Order, until successful verification of the availability of the Products indicated in the information sheet “that can be ordered depending on availability, the entire Proposed Purchase will remain pending.

The positive outcome of the availability check

The positive result of the verification about the availability of the Product, the Customer will receive an e-mail from Unieuro spa with the latter will communicate to the Customer that the Goods are available and the Proposed Purchase has been accepted.

In the case where the Customer has chosen to collect the Products at a Point of Sale Unieuro, within 7 days from the receipt of the e-mail of acceptance of the Purchase offer, Unieuro S.p.A. will inform the Customer of the day when you can go to the Point of Sale selected for the collection of the Products and proceed to payment with the available payment methods at the Point of Sale. A negative result of the verification of availability

The negative result of the verification about the availability of the Product, the Customer will receive an e-mail from Unieuro spa with the latter will communicate to the Customer that the Goods are not available and the Acquisition Proposal has not been accepted. This e-mail, then, will indicate that the Proposed Purchase has been cancelled.

Only in the case of a Mixed Order, within 4 Working days from the completion of the Proposed Acquisition, the call center Unieuro S.p.A. will contact the Client, who can choose whether to do the same with the purchase of/the Product/s available, or cancel the Proposed Purchase. In the event that, within 5 Business Days from the completion of the Proposed Acquisition, Unieuro S.p.A. does not receive instructions in this regard, Unieuro S.p.A. will proceed to the cancellation of the entire Purchase Proposal.

In the case where the method of payment chosen by the Customer and the charge on the credit card or Paypal, the amount will be reversed respectively on the two payment circuits in the time provided by themselves.

4.3 The conclusion of the Contract

In the case of the Product indicated in the information sheet as “available”, the Contract shall be considered concluded in the moment of receipt by the Customer of confirmation of receipt of the Purchase Order sent via e-mail.

In the case of the Product indicated in the information sheet as “can be ordered, depending on availability, the Contract shall be considered concluded in the moment of receipt by the Customer of the confirmation of the successful verification of the availability of the Product, and after positive verification of the regularity of the payment of the consideration by the Customer, acceptance of the Purchase Proposal sent via e-mail.

In the case of a Mixed Order, the Contract shall be considered concluded in the moment of receipt by the Customer of the confirmation of the successful verification of the availability of the products listed above can be ordered, depending on availability” and, therefore, acceptance of the Purchase Proposal sent via e-mail.

Considering all of the foregoing, the Customer acknowledges and agrees that:

(1) in the case where the Contract is concluded as above provides for the delivery of the Product at home (at an address indicated by the Customer) or at a Point of Sale Unieuro selected by the Customer in the Purchase Order, the Contract is deemed concluded by the Customer with Unieuro S. p.a A, which latter, therefore, will act as the seller of the Product sold (as well as a provider of any Services purchased by the Customer);

(2) to the contrary, in the case where the Contract is concluded as above provides for the delivery of the Product purchased at a Point of Sale Affiliate selected by the Customer in the Purchase Order, the Contract is deemed concluded by the Customer directly with the Point of Sale the Affiliate, which, therefore, will act as the seller of the Product sold (as well as a provider of any Services purchased by the Customer).

In this last regard and for the sake of clarity, the Customer acknowledges and agrees that in the case of Contracts concluded with Affiliated outlets Unieuro sub (2), Unieuro S.p.A. will act, through the Site, as the mere agent representation, pursuant to art. 1704 and following of the Civil Code, Point-of-Sale Affiliate with which the Contract has been time and again concluded by the Customer. For the effect, any right, remedy, or obligation arising from these Contracts shall be exercised, performed or discharged, as appropriate, by the Customer directly vis-à-vis Point-of-Sale Affiliate with which the Contract has been concluded. The properties of any Product purchased by a Customer pursuant to the Contract is transferred to the Client only upon full payment by the latter of the amount due for the purchase of the Product itself. Consequently, Unieuro S.p.A. will proceed with the delivery of the Product only and only once you have received the full payment of the consideration due from the Customer.4.4

Updates on the status of the Order

Unieuro spa reserves to provide the Client with updates regarding the status of the execution of any contract concluded pursuant to art. 4.3.

(1) In the case of contracts for the delivery of purchased Products to the home (at an address indicated by the Customer) Unieuro S. p.a To proceed to communicate the following states the Order of Purchase:

ARTICLE 5 – CHARACTERISTICS OF THE PRODUCTS

5.1 The products on offer

Any purchase by the Customer of the Products published in the section “offer” or expressly indicated as “limited time offer” (or synonyms) is subject to a limit of purchase daily only one item for each Customer per day.

For some special promotions, please refer to the relevant rules published on the website.

5.2 Prices

The prices of the Products published on the Site are inclusive of VAT, while it does not include any charges for Services that may be required by the Customer.

The purchase of the Products, as shown and described on the online Site in the related technical sheets, as well as the Services are made by the Customer at the price in effect at the time of submission of the Purchase Order or the Proposed Purchase price, the latter will, however, be displayed on the Site as well as within the Purchase Order or the Purchase Proposal.

Notwithstanding the foregoing, Unieuro spa reserves the right to modify, at any time, in its sole discretion and without prior notice, the price of the Products and Services from time to time on the Site, without therefore provide no assurance as to the fact that the sale price of the Products or Services remain available on the Website or unchanged for a certain period of time. On the contrary, and for clarity, any price in effect at the time of receipt by Unieuro S.p.A. of a Purchase Order or a Purchase Proposal, will remain firm and unchangeable between the parties.

5.3 Description of Products

The technical sheets of the Products present on the Site (and, therefore, the description of the functions and features of each Product) are drawn directly by the manufacturer of each Product concerned.

(2) PayPal

In the case of delivery of the Product at home, if the Customer has chosen to purchase through the PayPal payment method, at the conclusion of the order, the Customer is directed to PayPal login page.

The amount due from the Customer in relation to each Purchase Order or to each Proposed Purchase will be charged to your PayPal account at the time of shipment of the Product and, in any case, after the issuance of the relevant invoice.

For every transaction made with the PayPal account, the Customer will receive a confirmation email from PayPal.

Unieuro spa reserves the right not to accept Purchase Orders, or Purchase orders or to suspend the execution of Contracts already concluded if PayPal signals any anomaly or irregularity in the payment. In this case, Unieuro spa reserves the right to request additional information from the Customer and/or sending copies of documents proving the ownership of the credit card used for the purchase. In the absence of the required documentation, Unieuro spa reserves the right not to accept the Purchase Order or the Proposed Purchase or to terminate the Contract, if already signed, without giving any right to the Customer to request compensation for damages or to assert other claims.

(3) Financing Agos

In the case of delivery of the Product at home, if the Customer has chosen to purchase through the mode of payment by instalment, at the conclusion of the order, the Customer is transferred to the website of Agos Ducato, where you can select the installment, download the pre-contractual documentation, fill in the online form to request funding and follow the directions to submit the documentation to Agos Ducato.

6.5 The security of the payments

ARTICLE 7 – DELIVERY OF THE PRODUCTS

7.1 In general

Unieuro S.p.A. delivery the Products exclusively on the Italian territory.

The Customer (is it a Registered Customer, Client or Visitor) may not be resident in Italy must, however, specify in your Purchase Order or in the Proposal of Purchase a place of delivery of the Products in the territory Italian.

The purchased products will be delivered:

– to the address indicated by the Customer in the Purchase Order or in the Proposed Purchase;

– at the Point of Sale Unieuro selected by the Customer in the Purchase Order or in the Proposed Purchase;

– at the Point of Sale Franchisee to sign “Unieuro” selected by the Customer in the Purchase Order or in the Proposed Purchase;

7.2 Home delivery or pick-up at a point of sale Unieuro

Delivery times and stock

The Products listed as “available” will be delivered to your home (or made available at the Point of Sale Unieuro selected by the Customer in the Purchase Order) within an indicative and non-binding as indicated in the relative product card and in the email confirmation of the Purchase Order and in any case within and not beyond 10 (ten) Working Days from the sending of the e-mail confirmation of receipt of the Purchase Order referred to in the preceding art. 4.2.1.

In partial derogation of the foregoing, in the case of home delivery, if the Customer in connection with the purchase of Products has required the provision of Services of installation and withdrawal of used (WEEE), Products will be delivered within 15 (fifteen) Working Days from the sending of the e-mail confirmation of receipt of the Purchase Order referred to in the preceding art. 4.2.1.

For the Products listed as “can be ordered depending on availability” and in case of a Mixed Order, the estimated time of delivery or the time from which the Products are available at the Point of Sale Unieuro, will be indicated in the e-mail of confirmation of acceptance of the Purchase offer, after that Unieuro will be processed from checking the availability of those Products indicated as “ available depending on availability ”. In each case, pursuant to art. 61, paragraph 1 of the Code of the Consumption, Unieuro S.p.A. makes the delivery within the term of thirty days from the day following that on which the Client has sent the Purchase Order to Unieuro S.p.A.

In the event that the Products are not delivered within the terms of nature peremptory indicated in the preceding paragraphs, Unieuro S.p.A. will contact the Customer within 2 (two) Working Days by providing information on the status of the shipment, without prejudice to the right to obtain a refund from the Customer and to the additional rights provided for by art. 61, paragraphs 3-7 of the Code of Consumption.

In the case of purchase of more Products of different types, Unieuro spa reserves the right to deliver individual Products with the times and different deliveries. This choice of Unieuro S.p.A. will not cause the Customer any additional costs. The Customer is obliged to verify, upon receipt of the ordered Products:

(a) if the number of packages delivered corresponds to that indicated on the transport document;

(b) if the packaging is intact;

(c) if the Product delivered to him is in accordance with the Purchase Order or the Proposed Purchase is made.

The Customer must sign the delivery note stating "subject to control the integrity of the products”; if this does not happen, the Customer can not dispute, then, the non-compliance outside of the Product and its quantity than ordered.

In the case of withdrawal of the Product from a Point of Sale, Unieuro, Unieuro S.p.A. will communicate, by e-mail, to the Customer the date from which the Product can be picked up at the same Point of Sale Unieuro chosen. The Product shall remain in storage at the Point of Sale Unieuro chosen by the Client and so on for 10 (ten) Working Days from the date on which the Product is available as above. After this last term, Unieuro will be processed from the right to declare the Contract terminated and ineffective and, in this case, Unieuro will be processed from the right to re-sell the Product.
The Customer will not receive any mail at the end of the 10 (ten) working days in which the product is stored.

Home delivery

For residential deliveries, the Customer may choose some of the Services for each order line, and, in particular:

(a) the installation service of the purchased Product;

(b) the Withdrawal of the used (WEEE). For the purposes of clarity this service is free of charge. The service of the withdrawal of the used will be contextual to the delivery and possible installation (if required).

In case you have purchased such Services, they will need to be carried out by authorized installers and, therefore, the delivery time may be longer; Unieuro S.p.A. provides that, in such case, deliveries can be made within 15 (fifteen) Working Days from the sending of the e-mail of acceptance of the Purchase Order.

In the case of home delivery, the Customer may choose the following additional services for a fee as indicated in the shopping cart:

- Delivery on Saturday morning;

- Delivery within 12 hours of the day following receipt of the e-mail of acceptance of the Purchase Order;

- Delivery by telephone appointment;

- Delivery to the floor.

Fidelity Card Unieuro Club

The Paper Unieuro Club is the loyalty card of the Unieuro brand that allows you to accumulate points and receive discounts, promotions and benefits at all points of sale participating in the program Unieuro Club.
You can ask for it at all retail outlets participating in the program through the totems available in the shop or by filling out the membership form at the service centre. Alternatively, you can do it independently online on the website unieuroclub.it.

You can use the points for your purchases at participating stores: simply present your card at the cashier before payment and get your instant discount.
You can also use them for your online purchases about unieuro.it by associating the card to your profile and requesting the unloading of the points before closing the cart.

Invoice

The invoice related to the purchase of Products (and related Services), delivered to your home may be downloaded from the Registered Customer directly online in the Customer sheet.

The Customer Guest will be able to download the invoice by inserting, in the appropriate section named ‘order status’, the order number and your e-mail.

As regards, instead, the Products collected at the Point of Sale Unieuro, the invoice will be delivered directly to the Customer at the same store Unieuro.

No variation in invoice will be possible after the issuance of the same.

For orders involving multiple Products may be issued for different invoices according to the shipments actually made.

In any case, invoices will be issued by Unieuro S. p.a At the time of shipment of the products.

Shipping costs

Shipping. The price of the Product purchased by the Customer for which you are requesting the home delivery, must be added the amount of shipping costs. This amount is automatically calculated by the system Unieuro S.p.A., having regard, among others, the weight and size of Products, but without distinctions related to the place of delivery in the Italian territory. This amount will be indicated in the Purchase Order and the Purchase Proposal before its submission to the Customer.

Pick-up at Unieuro. Otherwise, in case of withdrawal of the Products at a Point of Sale Unieuro, will not add any cost for the transport.

7.3 Delivery at a Point of Sale Affiliate Unieuro The Products purchased/booked on the Site may be collected by the Customer at one of the Points of Sale Affiliated to teaches “Unieuro”, which are not managed directly by Unieuro S.p.A. but in agreement with the most recent and best listed in the section “Points of Sale”, where there is the ability to split and flitrare the affiliated sales outlets.

In the case of withdrawal of a Product at a Point of Sale Affiliate Unieuro, the Customer is the owner of Unieuro Club can earn and redeem the accumulated points with the same loyalty card at the point of sale of the withdrawal of the Product only if the same will be among those participating in the initiative; the points accrued with the purchase of each Product will, however, be credited on the Unieuro Club automatically, and the Customer can verify the accreditation of the online points in the section ‘Unieuro Club’.

Invoice

The invoice will be delivered directly at the Point of Sale Affiliate Unieuro; in this case, the invoice will be issued directly by the Point of Sale Affiliate Unieuro where is carried out the withdrawal of the Product.

Additional charges

In the case of collection of the Products at a Point of Sale Affiliate Unieuro will not be added to the transport costs.

7.4 Withdrawal WEEE

7.5 The lack of availability of a Product

In caso di mancata disponibilità di un Prodotto indicato come “disponibile”, e per il quale il Cliente abbia effettuato il pagamento al momento dell’Ordine di Acquisto, Unieuro S.p.A. provvederà a darne informativa via email il Cliente entro 4 giorni lavorativi dalla ricezione dell’Ordine di Acquisto, a provvedere entro il medesimo termine al rimborso della somma versata attraverso lo stesso mezzo di pagamento utilizzato per l’acquisto, informando il Cliente della tempistica normalmente necessaria per il riaccreditamento. Unieuro S.p.A. provvederà inoltre all’invio di un coupon sconto del 10% utilizzabile per qualsiasi Prodotto acquistabile sul Sito, restando impregiudicato il maggior danno subito dal Cliente. La medesima procedura si applica per le Proposte di Acquisto, anche se riferite agli Ordini Misti, per i quali il Cliente abbia effettuato il pagamento una volta ricevuta la conferma della disponibilità da parte di Unieuro S.p.A. in caso successivamente risulti che uno o più Prodotti oggetto della Proposta di Acquisto siano indisponibili.

ARTICLE 8 – LEGAL GUARANTEE OF CONFORMITY

All Products purchased through the website www.unieuro.it enjoy the legal guarantee of conformity under the Consumer Code and the Civil Code, as applicable.

Professional Customer

For each Product purchased by a Professional Customer (i.e. a natural or legal person acting in the exercise of their own entrepreneurial, commercial, craft or profession, or his intermediary), the latter will benefit from the warranty for defects of the thing sold art. 1490 c.c.; the action of the Professional Customer time to enforce the warranty for defects shall lapse at the expiry of 1 (one) year from the delivery of the Product purchased and its defects must be reported within the terms referred to in art. 1495 c.c.

Customer And Consumer

For each Product purchased by a Consumer Customer, the latter will benefit from a free legal guarantee of conformity (“The Legal Warranty”) provided for in articles 128 and following of the Consumer Code.

The Legal Guarantee is the responsibility of the seller applies for conformity defects that occur within 24 months from the date of delivery of the Product that are reported by the consumer within 2 months from the date of discovery of the defects themselves, in accordance to art. 132 of the Consumer Code.

It is noted that a lack of conformity exists when electing one of the following situations: (i) the product is not suitable for the use to which it must serve habitually resident; (ii) does not conform to the description or does not possess the qualities promised by the seller; (iii) does not offer the quality and performance which are normal in goods of the same type; (iv) is not suitable for the particular use desired by the consumer if made known to the seller at the time of purchase and accepted by the seller.

The Customer shall in any case remain the owner of the rights deriving from the Legal Guarantee described above, regardless of the subscription of all other guarantees conventional type, free or paid.

Remedies available to the Customer, the Consumer

In the case of the existence of a defect of conformity, the Consumer Customer may request, at its option, repair the Product, or its replacement, unless the remedy requested is objectively impossible or excessively expensive compared to the other in accordance with the provisions of art. 130, paragraph 4, of the Code of Consumption.

In particular, a remedy is considered excessively burdensome if it imposes costs on the seller unreasonable in comparison to the other, taking into account: (I) the value the goods would have if there were no lack of conformity; (ii) the extent of the lack of conformity; (iii) whether the alternative remedy could be completed without significant inconvenience to the Consumer.

Unieuro spa, with the aim to render a service of after-sales service of high quality and absolutely transparent, undertakes, on a voluntary basis, to carry out the repair or replace the defective Product within 40 (forty) days from the date of request for warranty service. In the alternative, the Customer may request, at its option, an appropriate reduction of price or termination of the contract, where one of the following situations: (i) the repair or replacement are impossible or excessively expensive; (ii) Unieuro S.p.A. has not made the repair or replacement of the Product within the period of 40 (forty) days; (iii) the replacement or repair carried out previously have caused significant inconvenience. A non-conformity is of minor importance, for which it is impossible or disproportionate to complete the remedies of repair or replacement, does not entitle the termination of the contract.

After that Unieuro will be processed assigned to the complaint of lack of conformity, it shall reserve the right to offer the Consumer any other remedy available, with following effects:

(i) if the Customer has already requested a specific remedy, Unieuro S.p.A. will remain obligated to implement it, with the necessary consequences in order to the commencement of the period of 40 (forty) days referred to above, subject to acceptance by the Client of the alternative remedy proposed;

(ii) if the Customer has not already requested a specific remedy, you should either accept the proposal or reject it by choosing another remedy provided by law.

Cases of exclusion of the Legal Warranty

The Customer shall not be entitled to repair, replacement, price reduction or termination of the Contract in relation to any Product or any component identified as defective if save as otherwise provided for and in accordance with applicable law:

(I) the Products have been repaired or altered by persons other than the manufacturer, Unieuro spa or any other authorised person; and/or

(ii) the lack of conformity of the Product or Products has manifested over the period of 2 (two) years from delivery of the Product itself and/or the instance of repair or replacement of the defective Product or a defective Product was sent after the expiry of 2 (two) months after discovery of the defect; and/or

(iii) the defects are due (wholly or in part) to the misuse, improper use or storage or maintenance or installation performed by persons other than the manufacturer, Unieuro spa or any other authorised person - that is, failure to follow the instructions provided by the manufacturer, or other instruction provided by Unieuro S.p.A. together with the Products delivered; and/or

(iv) at the time of conclusion of the Contract, the Consumer was aware of the defect and could not ignore with ordinary diligence; and/or

(v) the lack of conformity derives from instructions or materials provided by the Customer, the Consumer.

Operating modes in order to assert the Legal Warranty

The Legal Guarantee will be enforced directly against Unieuro S.p.A., if the latter is acting as the seller of the defective Products, and specifically in the case of the sale of the Products for which the Contract provides for the delivery of the Product at home (at an address indicated by the Customer), at the warehouse of the carrier, i.e. at a Point of Sale Unieuro selected by the Customer in the Purchase Order; on the contrary, in the case of the sale of the Products for which the Contract provides for the delivery of the Product at a Point of Sale Affiliate Unieuro selected by the Customer in the Purchase Order, this guarantee will be enforced directly against the same Point of Sale Affiliate, that, in this case, will act as the seller of the defective Products.

The Legal Guarantee may be invoked:

(i) At the point of sale. The Client - bearing the Product documentation that proves the purchase - can go directly at Points of Sale, Unieuro, or at the Point of Sale Affiliate Unieuro at which the delivery of the defective Products and contact the staff, which will be available to provide all the necessary assistance in relation to the case.

ARTICLE 9 – RIGHT OF WITHDRAWAL THE CUSTOMER CONSUMER

1. Pursuant to articles 52 and following of the Consumer Code, the Consumer Client has the right to withdraw from the Contract, without any penalty and without specifying the reason, within the period of fourteen days from the receipt of the Product, without giving any reason.

In the case of separate delivery of multiple goods ordered by the Consumer-Customer with a single order, the term of fourteen days for the exercise of the right of withdrawal runs from the day on which it is delivered to the ultimate good.

3. Unieuro S.p.A. communicates to the Client / Consumer, without delay, a confirmation of receipt, via e-mail to the email address provided during the purchase procedure on the Site, return.

4. In accordance with the provisions of article 59, sub-section (c) and (d) of the Consumer Code, the Consumer may not exercise the right of withdrawal for Products made to specifications or clearly personalized or which are liable to deteriorate or expire rapidly.

5. The right of withdrawal does not apply to audiovisual products and to the products computer software originally sealed and opened by the consumer, nor to the sealed goods which are not suitable to be returned for reasons of hygiene or related to the protection of health and were unsealed after delivery.

7. The only expenses due from the Customer, the Consumer, for the exercise of the right of withdrawal is the direct cost of returning the goods, as provided for in article 57, paragraph 1, of the Code of Consumption.

8. Once received the withdrawal request, Unieuro spa will refund the full amount paid by the Customer is a Consumer within the period of fourteen days from the date on which the Customer has exercised the right to withdrawal by crediting the account used at the time of purchase, or by using the bank details provided by the Customer the Consumer with the cancellation notice and still using the same method of payment used by the Customer Consumer at the time of purchase. ARTICLE 10 – SAFETY

The Registered Customer is responsible for the conservation and appropriate use of all e-mails, user names, nicknames and passwords used to connect to the Site and must adopt all the necessary measures to ensure that the same are being used properly and that user names and passwords are kept secret and not disclosed to any unauthorized person.

The Registered Customer is liable for any activities that may be performed by means of the own account and is liable for damages resulting from the misuse of its access data by third parties.

The Registered Customer must immediately inform Unieuro S.p.A. if there is any reason to believe that a user name (or e-mail address) or password is, or is likely to be, known by someone not authorised to use it or are likely to be used in a manner not authorized.

If a Registered Customer forgets or loses the user name, you must contact Unieuro spa and perform safety checks provided by Unieuro S.p.A.

Unieuro spa reserves the right to suspend user name (i.e. e-mail), nickname and password for access to the Site, if it considers that there is –or is likely that there is– a problem of security or unauthorized use of the same.

The Registered Customer is liable for the truthfulness of the information and personal data supplied upon registration. The Registered Customer must immediately inform Unieuro S.p.A. of any change in the information and personal data supplied upon registration, or provide directly, if possible, to update, to ensure that such information and personal data are constantly current, accurate, complete, and truthful. In the case in which they are provided, that is, Unieuro S.p.A. has a well-founded suspicion that they have been provided, the information or personal data that is false, inaccurate or incomplete, Unieuro will be processed from the right to prevent the use of the Site by the Registered Customer.

ARTICLE 11 – USE OF THE SITE

The Site, Products, features and Services made available or purchased through the Site are provided solely for the personal use of the Customer. The Customer may not resell or attempt to resell Products, Services, Content or features made available or purchased through the Site to any third party, nor use the Site for the purpose of exercising business activities of the company or otherwise for the purpose of a trade or business, including advertising, promotion, placement or any other form of marketing of Products, Services or Content made available through the Site, without the prior written consent of Unieuro S.p.A.

The Customer must not copy, modify, transmit and distribute externally, show in public, download, print, or publish any part of the Site or Content for commercial purposes. The Site may only be used for the personal purposes of the Customer and in accordance with this Agreement.

The User may not in any way alter or vary the editing, the graphics, the layout or “look and feel” of any web page inside of the Site, it is to be considered that these are defined by Unieuro spa or for the account of Unieuro spa to its sole discretion. Unieuro S. p.a To have the right to insert its own trademark, trade name, logo, ideogram, or other distinctive sign of Unieuro S. p.a To or third parties, and to insert advertising banners, hyperlinks or other forms of advertising at its sole discretion within each web page within the Site.

The Customer must not exploit or use the Site, or any Content, in such a way as to cause, detriment to Unieuro spa or third parties. In particular, the Customer has the obligation to refrain from using the Site or the Contents to carry out activities in competition, or in such a way as to cause damage or prejudice to the interests, including economic, that is, the image of Unieuro spa, other Customers or third parties.

The User is solely responsible for evaluating any Product or Service of this Website.

Unieuro S.p.A. non assume alcuna responsabilità per i dati personali o le informazioni o gli altri contenuti eventualmente inviati, diffusi, caricati o scaricati dal Cliente o da qualsiasi terzo mediante il Sito. The Customer shall indemnify Unieuro S.p.A. from any claim or legal action started or threatened against Unieuro S.p.A. by third parties as a result of the fact that the Site or its features to be used by the Customer in violation of this article, as well as in violation of any other provision of this Agreement.

ARTICLE 12 – INTELLECTUAL PROPERTY

The intellectual property rights in and to the Site, the Unieuro Brand, or the Content are and remain the exclusive property of Unieuro S. p.a To or its licensors.

It is expressly forbidden for the Customer to copy, modify, create works derived from or based on the Website, the Content, or Trademark on the software.

It is expressly forbidden for the Customer to download, copy, reproduce, duplicate or otherwise use or disseminate the Unieuro brand, or any brand, commercial name, logo, ideogram, or other distinctive sign related to Unieuro S. p.a A.or its products.

ARTICLE 13 – PROTECTION OF PERSONAL DATA

The information provided pursuant to art. 13 of the D. Lgs. no. 196 of 30 June 2003 (cd. The code in matter of protection of personal data) is considered to be an integral part of this Agreement.

For information related to the processing of personal data provided by the Customer at the time of registration on the Site or, later, at the time of access to the reserved area of the Site, please refer to the Privacy Policy section available on the Website in the version constantly updated.

ARTICLE 14 – MODIFICATIONS AND PARTIAL INVALIDITY

Unieuro spa reserves the right to make, at any time, in its sole discretion, all changes, additions and/or updates that it deems necessary and/or simply appropriate to the Site, content, programs, and/or other materials contained therein and/or available through the Website (including the present General terms and Conditions).

For clarity, any changes and/or updates made as above will have no effect on the Contracts already signed with Customers prior to the execution of such amendment or update.

In the case in which is declared the nullity, invalidity or unenforceability, in whole or in part, of any provision of this Agreement by any competent court, authority or administrative authority, the remaining provisions of this Agreement shall not be affected.

ARTICLE 15 – COMMUNICATIONS AND RESOLUTION OF PROBLEMS

Qualsiasi comunicazione relativa alle presenti Condizioni Generali o, in generale, a qualsiasi Contratto sottoscritto con Unieuro S.p.A. deve essere inviata a mezzo posta, fax o posta elettronica ai recapiti indicati di seguito:

Per eventuale assistenza telefonica si prega di contattare il numero 02-61317291 dal lunedì alla domenica (festivi esclusi) dalle ore 9,00 alle ore 20,00.

In caso di problemi nella connessione al Sito nel corso della procedura d’ordine, i Prodotti eventualmente già selezionati dal Cliente rimarranno memorizzati nell’apposita sezione “carrello” e il Cliente, una volta ristabilita la connessione, potrà rientrare nel Sito e completare la procedura d’ordine.

ARTICOLO 16 – GIURISDIZIONE E FORO COMPETENTE

Il Contratto è disciplinato dalla legge italiana.

Per qualunque controversia relativa alla validità, efficacia, interpretazione o esecuzione di ciascun Contratto nonché, in generale, relativa alla navigazione sul Sito da parte del Cliente ovvero all’utilizzo di qualsiasi funzionalità messa a disposizione del Cliente medesimo attraverso il Sito, sarà competente in via esclusiva il Foro di Forlì, salvo il foro obbligatorio del luogo di residenza o domicilio elettivo del Cliente che agisca in qualità di Cliente Consumatore, ai sensi del Codice del Consumo.
